Global Lithium Resources and Titan Australia Mining have signed a binding scheme implementation deed (SID) for a proposed acquisition valued at approximately $237m (A$333m).

Under the agreement, Titan will acquire all shares in Global Lithium by way of a scheme of arrangement (SoA), offering shareholders a cash consideration of A$1.15 per share.

The proposed offer represents a premium to Global Lithium’s recent trading values.

The offer price stands at a 73% premium to the company’s last traded price of A$0.665 per share, a 78% premium to its ten-day volume-weighted average price (VWAP) of A$0.646 per share and a 71% premium to its 30-day VWAP of A$0.674 per share.

This transaction provides shareholders with cash value ahead of the construction and development phase of the Manna Lithium Project and amid ongoing volatility in lithium markets.

Titan Australia Mining is a subsidiary of Titan Lithium Group, a United Arab Emirates (UAE)-based critical minerals group.

Titan is developing a large lithium processing facility in Abu Dhabi as part of a broader plan to establish vertically integrated operations covering upstream resource ownership and downstream battery materials production.

The acquisition of Global Lithium would give Titan access to an Australian lithium resource and potential feedstock for its UAE operations.

To ensure ongoing progress at the Manna Lithium Project, the Titan Lithium Group will provide Global Lithium with access to a facility of up to A$120m.

The funds can be drawn in four tranches across pre-agreed milestones and are intended to support project development during the scheme process.

The scheme is subject to several approvals, including from shareholders, the Foreign Investment Review Board, the Australian Competition and Consumer Commission, and the courts.

Implementation is expected to take place following a shareholder meeting anticipated in late December 2026.
