Hansen Releases Statement Regarding Secondary Placing

Hansen Transmissions International NV (Hansen) notes the announcement made today by AE Rotor Holding (AERH), a wholly owned indirect subsidiary of Suzlon Energy (Suzlon), regarding the secondary placing of 236 million depository interests in Hansen (the “Placing”).
As a result of the Placing, AERH will continue to hold 26.06% of the total depository interests in Hansen, down from 61.28%, and Hansen's free float increases from 38.72% to 73.94%.
Hansen also confirms that it is not engaged in any discussions that may lead to an offer for Hansen and is no longer in an "offer period" for the purposes of the city code on takeovers and mergers.
We understand that the announcement from Suzlon has brought to an end Suzlon's evaluation of alternatives regarding its shareholding in Hansen. We welcome the clarity this brings and look forward to resuming normal market communication activities now that the restrictions under the "offer period" have been lifted.
